Terms of Service

1. Introduction
These Terms of Service ("Terms") form a binding agreement between you ("you", "your", or "Customer") and Dmytro Spivak, an individual entrepreneur based in Ukraine, operating the service under the trading name "QuietLS" ("QuietLS", "we", "us", or "our"). By creating an account, accessing, or using the QuietLS service (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is provided through the website quietls.com and related subdomains.
2. The Service
QuietLS is a software-as-a-service product that continuously monitors websites for SSL/TLS certificate health, certificate transparency log activity, HTTP security headers, DNS configuration, and related signals of website security posture. The Service issues alerts when monitored signals indicate a problem.
QuietLS is an observability and notification tool. It is not a certificate authority, it does not host websites, it does not handle private keys, and it does not guarantee the availability or security of any third-party website or service that it monitors.
3. Eligibility
You must be at least 16 years old and legally capable of entering into a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.
4. Account Registration
To access most features, you must create an account by providing a valid email address and a password. You agree to:
- Provide accurate, current, and complete information.
- Keep your account credentials confidential.
- Notify us promptly at [email protected] of any suspected unauthorized access.
- Accept responsibility for all activity that occurs under your account.
We may suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.
5. Plans, Billing, and Payments
QuietLS is offered on a subscription basis with a free tier and several paid tiers. Current plan details, prices, and feature limits are published on the pricing page at quietls.com/#pricing.
5.1 Paddle as Merchant of Record
All paid subscriptions are processed by Paddle.com Market Limited ("Paddle"), our reseller and Merchant of Record. This means that Paddle — not QuietLS — is the seller of record for your subscription. Paddle is responsible for:
- Charging and collecting payment from you;
- Handling sales tax, VAT, and other applicable transaction taxes;
- Issuing invoices and receipts;
- Processing refunds in accordance with our Refund Policy.
Your purchase is governed by Paddle's Buyer Terms and Conditions and Privacy Policy in addition to these Terms.
5.2 Billing Cycles
Subscriptions are billed monthly or annually in advance, depending on the plan you select. Unless cancelled, subscriptions renew automatically at the end of each billing cycle at the then-current rate for your plan.
5.3 Free Plan
The free plan does not require payment information. We may change the free plan's limits or discontinue it on reasonable notice. Use of the free plan is subject to these Terms.
5.4 Price Changes
We may change subscription prices. Price changes apply to the next renewal of an existing subscription, and we will give at least 30 days' notice by email before they take effect. If you do not accept a price change, you may cancel before the renewal date and the change will not apply to you.
5.5 Taxes
Paddle calculates and adds applicable taxes at checkout. You are responsible for any taxes that are not collected by Paddle, including withholding taxes where required by your local law.
6. Cancellation and Refunds
You may cancel a paid subscription at any time from your account settings. Cancellation stops future renewals; it does not by itself refund payments already made. Refunds are governed by our Refund Policy, which forms part of these Terms.
7. Acceptable Use
You agree not to use the Service to:
- Monitor or probe domains, hosts, networks, or services that you are not authorized to monitor.
- Circumvent or interfere with our rate limits, security controls, or access controls.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by applicable law.
- Resell, rent, lease, or sublicense the Service except as expressly permitted by your plan (e.g. white-label features on Studio and above).
- Use the Service to send unsolicited communications or to harass any person.
- Transmit malware, exploit code, or content that violates applicable law or third-party rights.
- Use automated means to extract data from the Service except through our documented API and within applicable rate limits.
We may suspend or terminate accounts that breach this section, and we may report unlawful activity to the appropriate authorities.
8. Your Content and Data
You retain all rights in the domains, configurations, and data you submit to the Service ("Customer Data"). You grant us a limited, non-exclusive, worldwide licence to process Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.
You represent that you have the right to submit each piece of Customer Data and to authorise QuietLS to monitor the domains and hosts you add to the Service.
9. Service Availability and Changes
We aim to keep the Service available and accurate at all times, but we do not guarantee uninterrupted availability. We may:
- Modify, add, or remove features.
- Perform scheduled or emergency maintenance.
- Throttle requests that exceed reasonable usage of a plan.
For paid plans, material reductions in functionality will be announced by email or in-app notice at least 30 days in advance where reasonably practical.
10. Third-Party Services
The Service relies on third-party providers (including, without limitation, Paddle for payments, Hetzner Online GmbH for hosting, Resend for transactional email, and BetterStack for logging and monitoring). Use of those providers is governed by their own terms and privacy policies, which are summarised in our Privacy Policy.
The Service may also retrieve publicly available data from third-party sources (e.g. Certificate Transparency logs, public DNS). We make no guarantee that such third-party data is correct, complete, or current.
11. Intellectual Property
QuietLS, including all software, source code, designs, documentation, trademarks, and branding, is owned by Dmytro Spivak and protected by applicable intellectual-property law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for the duration of your subscription.
No rights are granted by implication, estoppel, or otherwise except as expressly set out in these Terms.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free.
- Alerts will be delivered, delivered on time, or that any specific monitoring signal will be detected.
- The data presented in the Service is accurate, complete, or current.
You remain responsible for the security of your own websites, certificates, and infrastructure. QuietLS is a monitoring aid, not a substitute for your own security practices.
13. Limitation of Liability
To the maximum extent permitted by law:
- In no event will QuietLS be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.
- Our aggregate liability to you for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the total amount you paid to Paddle for the Service in the 12 months preceding the event giving rise to the liability, or (b) EUR 50.
Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such exclusion or limitation is not enforceable, the relevant provision will be enforced to the maximum extent permitted by law, and the remainder of this section will continue to apply.
Nothing in these Terms limits our liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded under applicable law.
14. Indemnification
You agree to indemnify and hold harmless Dmytro Spivak (operating as QuietLS), our affiliates, and our agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your Customer Data, or (c) your breach of these Terms.
15. Termination
These Terms remain in force for as long as you use the Service. You may terminate by deleting your account or by ceasing to use the Service. We may terminate or suspend your access immediately if you materially breach these Terms or if we are required to do so by law. On termination:
- Your right to use the Service ends.
- We may delete your account data after a reasonable retention period (see our Privacy Policy).
- Sections that by their nature should survive termination (including 8, 11, 12, 13, 14, 16, and 17) will survive.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page reflects the most recent revision.
17. Governing Law and Disputes
These Terms are governed by the laws of Ukraine, without regard to its conflict-of-laws principles. The courts of Ukraine have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory consumer-protection law of your country of residence grants you the right to bring proceedings in your local courts.
If you are a consumer resident in the European Union, you may also be entitled to refer disputes to the EU Online Dispute Resolution platform.
18. Miscellaneous
- Entire agreement. These Terms (together with the Privacy Policy, Refund Policy, and Paddle's buyer terms) constitute the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions will continue in full force.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
